PodConverge Terms of Service

These Terms of Service (“Terms”) govern your access to and use of PodConverge websites, applications, software, integrations, design tools, AI-assisted features, publishing tools, product-management services, order-management services, fulfillment-related functionality, and other services made available by PodConverge.

PodConverge is operated by 1000880792 ONTARIO INC., an Ontario corporation operating as PodConverge (“PodConverge,” “we,” “us,” or “our”).

By creating a PodConverge account, purchasing or using a PodConverge service, connecting a third-party platform, clicking to accept these Terms, or otherwise using PodConverge, you agree to these Terms and our Privacy Policy.

If you use PodConverge on behalf of a company, organization, agency, or other legal entity, you represent that you have authority to bind that entity to these Terms.

If you do not agree to these Terms, you may not use PodConverge.

1. Eligibility and Business Use

PodConverge is primarily intended for merchants, creators, designers, ecommerce businesses, agencies, and other business users.

You must be at least 18 years old, or the applicable age of legal majority required to enter into a binding agreement in your jurisdiction, to create a PodConverge business account unless otherwise permitted by applicable law.

You are responsible for ensuring that your use of PodConverge complies with applicable laws and regulations.

2. Your PodConverge Account

You may be required to create an account to access certain PodConverge functionality.

You agree to:

• Provide accurate and current account information;
• Maintain the security of your credentials;
• Keep your account information reasonably current;
• Use your account only for lawful purposes;
• Maintain appropriate control over people authorized to access your account; and
• Notify PodConverge promptly if you believe your account has been accessed without authorization.

You are responsible for activities conducted through your account by you or persons you authorize.

You may not sell, transfer, rent, sublicense, or provide your PodConverge account credentials to unauthorized third parties.

3. PodConverge Services

PodConverge provides software and related services that may allow users to:

• Create and manage design projects;
• Create and edit artwork and product graphics;
• Use AI-assisted creative functionality;
• Generate product mockups;
• Select products and product variants;
• Work with print-on-demand and fulfillment providers;
• Review and compare available product or supplier options;
• Connect supported ecommerce stores and marketplaces;
• Prepare and publish product information;
• Manage connected products;
• Receive and manage order information;
• Coordinate production and fulfillment;
• Manage shipping and tracking information;
• Manage multiple connected sales channels; and
• Use other ecommerce-related tools made available by PodConverge.

Available functionality may vary based on your plan, location, connected platform, provider, account configuration, or product configuration.

We may add, modify, improve, limit, replace, or discontinue PodConverge functionality from time to time.

4. Connected Platforms and Third-Party Services

PodConverge may integrate with independent third-party services, including ecommerce platforms, marketplaces, storefront platforms, print-on-demand providers, fulfillment providers, payment providers, technology providers, and other business services.

Supported sales channels may include platforms such as:

• Etsy;
• Shopify;
• WooCommerce;
• TikTok Shop; and
• Other platforms that PodConverge may support in the future.

Your use of a connected platform remains subject to that platform's own terms, policies, rules, eligibility requirements, fees, restrictions, and decisions.

PodConverge does not control connected platforms.

A connected platform may independently modify, restrict, suspend, discontinue, or replace its API, services, permissions, policies, or integration capabilities.

You are responsible for reviewing and complying with the rules of each connected platform you use.

5. Authorization of Connected Stores

You may connect only stores, shops, accounts, or sales channels that you own, manage, or are otherwise authorized to access.

When you connect a supported platform, you authorize PodConverge to interact with that platform through the authorization methods supported by that platform.

Depending on the platform and functionality you use, this may allow PodConverge to:

• Identify and maintain your connected store;
• Access relevant product information;
• Create products or listings at your instruction;
• Update products or listings at your instruction;
• Synchronize relevant product and variant information;
• Receive order information;
• Coordinate production and fulfillment;
• Manage shipping or tracking information;
• Display relevant store information within PodConverge; and
• Perform other actions you request through supported PodConverge functionality.

PodConverge seeks to access only information reasonably necessary to provide the functionality you request.

You may disconnect supported integrations through PodConverge or the applicable third-party platform where such controls are available.

6. Your Responsibility for Connected Stores

Connecting a store to PodConverge does not transfer ownership or responsibility for that store to PodConverge.

You remain responsible for your store and your activities as a merchant or seller, including:

• Products you offer;
• Designs and intellectual property;
• Listing content;
• Product descriptions;
• Pricing;
• Product variants;
• Production-partner disclosures;
• Shipping settings;
• Taxes;
• Returns and refunds;
• Customer-service obligations;
• Marketplace disclosures;
• Regulatory requirements; and
• Compliance with the applicable sales channel's rules.

PodConverge may assist you in preparing, managing, synchronizing, or publishing information, but you remain responsible for information you authorize for publication.

7. Platform-Specific Terms

The following additional terms apply when you connect the applicable platform.

If a platform-specific provision conflicts with a general provision of these Terms in relation to that platform, the platform-specific provision controls to the extent necessary to resolve that conflict.

8. Etsy Integration — Special Terms

This Section applies when you connect or use an Etsy shop through PodConverge.

By connecting an Etsy shop to PodConverge, you agree that this Section forms part of the Application Terms between you and PodConverge governing your use of the PodConverge Etsy integration.

8.1 Etsy Seller Authorization

You may connect only an Etsy shop that you are authorized to access and manage.

The Etsy connection is initiated by you using Etsy's supported authorization process.

You authorize PodConverge to access and process information made available through the Etsy API only to the extent reasonably necessary to provide the PodConverge functionality you request and authorize.

8.2 PodConverge's Role

PodConverge is an independent software provider.

For personal information relating to Etsy Members that PodConverge accesses through the Etsy API, PodConverge acts as a service provider to the applicable Etsy seller and processes such information only to provide the services requested by that seller under these Terms.

PodConverge's handling of Etsy-related information is further described in the PodConverge Privacy Policy.

8.3 Etsy Integration Functionality

Depending on functionality selected by you and permissions made available by Etsy, PodConverge may support activities including:

• Connecting and maintaining your Etsy shop integration;
• Creating listings you authorize;
• Updating listings you authorize;
• Synchronizing relevant product and variation information;
• Receiving order information necessary for requested order-management or fulfillment functionality;
• Coordinating print-on-demand production and fulfillment;
• Displaying relevant information from your connected Etsy shop within PodConverge;
• Updating supported fulfillment or shipment-tracking information;
• Providing integration-related support; and
• Maintaining the security and technical reliability of the integration.

PodConverge seeks to request only the minimum amount of Etsy information reasonably necessary to provide the intended functionality.

8.4 Etsy Seller Responsibility

You remain responsible for your Etsy shop.

You are responsible for ensuring that products, designs, listings, descriptions, pricing, production methods, production partners, shipping settings, shop information, and other information you publish comply with Etsy's applicable policies and legal requirements.

PodConverge does not guarantee Etsy's acceptance, approval, ranking, availability, or continued publication of any product, listing, design, shop, or seller account.

8.5 Etsy Member Information

Information relating to Etsy Members accessed through the Etsy API may be processed only for legitimate purposes associated with providing the applicable service to the connected Etsy seller.

You may not use PodConverge or Etsy Member information made available through the PodConverge Etsy integration to:

• Send spam or unauthorized marketing;
• Add Etsy buyers to unrelated marketing lists without appropriate authorization;
• Sell Etsy Member personal information;
• Commercialize Etsy Member personal information;
• Circumvent applicable privacy restrictions;
• Misuse buyer contact, transaction, or delivery information; or
• Use Etsy Member information for purposes unrelated to providing the applicable seller service.

8.6 Prohibited Etsy Data Uses

You may not use PodConverge to:

• Scrape Etsy through unauthorized methods;
• Circumvent Etsy's API or access controls;
• Harvest Etsy shops, listings, profiles, or Etsy Member information;
• Conduct unauthorized automated analysis of Etsy API information;
• Obtain Etsy information for unauthorized competitor or marketplace analysis;
• Reproduce Etsy Member content without appropriate rights;
• Manipulate Etsy statistics, views, ratings, reviews, or engagement;
• Access unauthorized Etsy APIs or data sources;
• Transfer, sell, sublicense, or commercialize Etsy API access;
• Use Etsy API information for unauthorized advertising or marketing; or
• Otherwise use Etsy information contrary to Etsy's applicable requirements.

8.7 Etsy Information and AI

PodConverge provides AI-assisted functionality elsewhere within its platform.

Information obtained through the Etsy API is not collected or requested through the Etsy API for purposes of training artificial-intelligence or machine-learning models or for general analytics unless such use is expressly authorized in writing by Etsy.

You may not intentionally use PodConverge to route Etsy API information into an AI-assisted workflow for a purpose prohibited by Etsy.

8.8 Etsy Data Retention

PodConverge does not cache or store Etsy API information longer than reasonably necessary to provide the authorized service, except where retention is required by applicable law.

Information that is no longer reasonably required is handled as described in the PodConverge Privacy Policy and subject to applicable Etsy requirements.

8.9 Disconnecting Etsy

You may disconnect your Etsy shop from PodConverge.

After authorization is revoked or disconnected:

• PodConverge will stop making new requests using that authorization, subject to applicable technical and legal requirements;
• Functionality dependent on the Etsy integration may stop working; and
• Previously received information will be handled according to applicable retention requirements.

8.10 Etsy Security

PodConverge maintains reasonable administrative, technical, and organizational measures designed to protect information accessed through the Etsy integration.

If Etsy Member information accessed through the Etsy API is compromised or reasonably suspected to have been compromised, PodConverge will follow applicable Etsy notification requirements.

8.11 Etsy Independence

PodConverge is an independent application provider.

PodConverge does not represent that Etsy sponsors, endorses, certifies, guarantees, or is responsible for PodConverge.

AND ITS AFFILIATES ARE NOT THE APPLICATION DEVELOPER, DO NOT PROVIDE THE APPLICATION SERVICE, AND MAKE NO WARRANTIES OF ANY KIND WITH RESPECT TO THE APPLICATION OR DATA ACCESSED THROUGH IT.

The term “Etsy” is a trademark of Etsy, Inc. This Application uses Etsy's API, but is not endorsed or certified by Etsy, Inc.

Nothing in these Terms creates an agency, employment, partnership, joint venture, franchise, sponsorship, or endorsement relationship between PodConverge and Etsy.

9. Shopify Integration — Special Terms

This Section applies when you connect a Shopify store through PodConverge.

9.1 Shopify Authorization

You may connect only a Shopify store that you own, manage, or are otherwise authorized to access.

You authorize PodConverge to access Shopify information through permissions granted during the Shopify authorization process.

PodConverge seeks to request only access scopes and information reasonably necessary to provide the functionality you request.

9.2 Shopify Functionality

Depending on permissions granted and functionality supported by PodConverge and Shopify, PodConverge may:

• Connect and maintain your Shopify store;
• Access relevant store and product information;
• Create or update products at your instruction;
• Synchronize relevant product and variant information;
• Receive relevant order information;
• Coordinate production and fulfillment;
• Manage supported shipping and fulfillment information;
• Display relevant Shopify information within PodConverge; and
• Provide integration support.

9.3 Shopify Customer Information

Where PodConverge requires access to Shopify customer information to provide requested functionality, PodConverge processes only information reasonably necessary for that functionality and subject to applicable Shopify requirements.

Protected customer information may include information associated with orders, customers, shipping, fulfillment, and related records.

PodConverge's handling of personal information is described in the PodConverge Privacy Policy.

You may not use information made available through PodConverge to violate Shopify's policies, applicable privacy requirements, or the rights of customers.

9.4 Shopify Merchant Responsibility

You remain responsible for your Shopify store, products, customers, checkout configuration, taxes, payment settings, shipping rules, returns, regulatory obligations, and compliance with Shopify's applicable terms and policies.

PodConverge does not control Shopify's platform, API, checkout, payment systems, app-review decisions, or merchant-account decisions.

9.5 Disconnecting Shopify

You may disconnect or uninstall the PodConverge Shopify integration using controls made available by Shopify or PodConverge.

When the integration is disconnected, functionality dependent on Shopify authorization may stop working.

Information obtained through the integration will be handled according to the PodConverge Privacy Policy, applicable law, and applicable Shopify requirements.

9.6 Shopify Independence

Shopify is an independent third party.

Unless expressly stated otherwise, PodConverge is not sponsored, endorsed, operated, or guaranteed by Shopify.

Shopify's trademarks and services remain the property of their respective owners.

10. TikTok Shop Integration — Special Terms

This Section applies when PodConverge supports and you connect a TikTok Shop account.

10.1 TikTok Shop Authorization

You may connect only a TikTok Shop account that you are authorized to access or manage.

You authorize PodConverge to access information through the permissions and authorization mechanisms made available by TikTok Shop.

PodConverge seeks to access only information reasonably necessary to provide the functionality you request.

10.2 TikTok Shop Functionality

Depending on functionality supported by PodConverge and permissions made available by TikTok Shop, PodConverge may support:

• Connecting and maintaining your TikTok Shop integration;
• Creating or managing product information at your instruction;
• Synchronizing products or variants;
• Receiving order information;
• Coordinating production and fulfillment;
• Managing supported shipping or tracking information;
• Displaying relevant shop information in PodConverge; and
• Providing integration-related support.

10.3 TikTok Shop Data

Where PodConverge processes seller, buyer, order, business, or other information received through TikTok Shop, PodConverge processes such information for purposes associated with providing requested PodConverge functionality and subject to applicable TikTok Shop developer and data-security requirements.

You may not use information received through the TikTok Shop integration for unauthorized purposes.

10.4 TikTok Shop Seller Responsibility

You remain responsible for:

• Your TikTok Shop account;
• Products you offer;
• Product information;
• Designs and intellectual property;
• Pricing;
• Shipping;
• Customer obligations;
• Applicable disclosures;
• Applicable laws; and
• Compliance with TikTok Shop policies.

PodConverge does not guarantee approval or continued availability of a product, listing, shop, seller account, or TikTok Shop integration.

10.5 Disconnecting TikTok Shop

You may disconnect the integration where supported by PodConverge or TikTok Shop.

After disconnection, functionality requiring TikTok Shop authorization may stop working.

Information previously received through the integration will be handled according to the PodConverge Privacy Policy and applicable platform and legal requirements.

10.6 TikTok Shop Independence

TikTok and TikTok Shop are independent third-party services.

Unless expressly stated otherwise, PodConverge is not sponsored, endorsed, operated, or guaranteed by TikTok or TikTok Shop.

Applicable trademarks remain the property of their respective owners.

11. WooCommerce Integration — Special Terms

This Section applies when you connect a WooCommerce store through PodConverge.

11.1 Store Authorization

WooCommerce stores are generally operated through independently controlled WordPress installations.

You may connect only a WooCommerce store that you own, operate, manage, or are otherwise authorized to access.

Depending on the integration method, you may authorize PodConverge by providing or approving credentials, API keys, or another supported authorization mechanism.

You are responsible for ensuring that the credentials or permissions you provide are authorized for the applicable WooCommerce store.

11.2 WooCommerce Functionality

Depending on the permissions granted and functionality supported by PodConverge, PodConverge may:

• Connect to your WooCommerce store;
• Read relevant product information;
• Create or update products at your instruction;
• Synchronize product and variant information;
• Receive relevant order information;
• Coordinate production and fulfillment;
• Manage supported shipping and tracking information; and
• Display relevant store information within PodConverge.

11.3 WooCommerce Credentials

You are responsible for maintaining appropriate access controls for your WordPress and WooCommerce environment.

PodConverge will use credentials or authorization provided for the integration only to provide the supported functionality you authorize.

You should revoke PodConverge's API access if you no longer want PodConverge to interact with your WooCommerce store.

11.4 WooCommerce Store Responsibility

Because your WooCommerce store may operate on infrastructure, hosting, plugins, extensions, themes, and services selected by you, you remain responsible for the operation and security of your store environment outside PodConverge.

You are responsible for:

• WordPress administration;
• WooCommerce configuration;
• Hosting;
• SSL and site security;
• Other installed plugins and extensions;
• Store backups;
• Customer obligations;
• Products and listings;
• Taxes and payments;
• Compliance with applicable laws; and
• Your own privacy and security obligations.

11.5 WooCommerce Independence

WooCommerce and WordPress are independent third-party technologies.

Unless expressly stated otherwise, PodConverge is not sponsored, endorsed, operated, or guaranteed by WooCommerce, Automattic, WordPress, or their respective owners.

12. Future Sales Channels and Integrations

PodConverge may support additional sales channels or third-party platforms in the future.

Unless additional platform-specific terms are provided, the general Connected Platforms provisions of these Terms apply.

Where a new platform imposes additional requirements, PodConverge may update these Terms or provide supplemental terms for that integration.

13. Print-on-Demand and Fulfillment Providers

PodConverge may allow you to interact with independent print-on-demand, production, manufacturing, shipping, or fulfillment providers.

These providers may include providers integrated directly or through other services used by PodConverge.

Third-party providers remain independent parties unless expressly stated otherwise.

Product availability, production times, shipping times, prices, discounts, inventory, geographic coverage, and other provider information may change.

Information displayed by PodConverge concerning third-party providers is intended to assist you but does not guarantee provider performance.

When you instruct PodConverge to coordinate an order with a provider, you authorize PodConverge to transmit information reasonably necessary to complete the requested service, which may include:

• Product information;
• Product variants;
• Design files;
• Production specifications;
• Recipient information;
• Delivery address;
• Shipping selection; and
• Order information.

Your use of an independent provider may also be subject to that provider's terms and policies.

14. AI-Assisted and Creative Features

PodConverge may provide AI-assisted functionality for activities including design generation, image generation, editing, mockup creation, product-content preparation, and other creative workflows.

AI-generated or AI-assisted results may occasionally be inaccurate, incomplete, unexpected, unsuitable, or similar to content generated for other users.

You are responsible for reviewing outputs before using, publishing, manufacturing, selling, or relying on them.

PodConverge does not guarantee that AI-assisted content will:

• Be unique;
• Be free from errors;
• Be eligible for intellectual-property protection;
• Avoid every possible similarity to third-party content;
• Be suitable for every commercial purpose; or
• Automatically comply with marketplace policies.

You remain responsible for determining whether you have appropriate rights and permissions to use and commercialize content.

Platform-specific restrictions apply to information obtained from connected platforms.

15. User Content

“User Content” means content you upload, create, submit, store, transmit, or make available through PodConverge, including:

• Artwork;
• Images;
• Photographs;
• Graphics;
• Designs;
• Text;
• Prompts;
• Templates;
• Product information; and
• Other materials.

As between you and PodConverge, you retain ownership of the rights you hold in your User Content.

You grant PodConverge a non-exclusive license to host, store, reproduce, process, modify as technically necessary, transmit, display, and otherwise use User Content solely as reasonably necessary to:

• Provide services you request;
• Store your projects;
• Generate requested outputs;
• Publish content at your direction;
• Coordinate production and fulfillment;
• Provide collaboration functionality;
• Maintain service security and reliability; and
• Perform other actions you instruct PodConverge to perform.

This license does not transfer ownership of your User Content to PodConverge.

16. Intellectual Property and Content Responsibility

You represent that you have the rights, licenses, permissions, and authority necessary to upload, process, reproduce, modify, publish, manufacture, sell, or otherwise use your User Content through PodConverge.

You may not use PodConverge to:

• Infringe copyrights;
• Infringe trademarks;
• Violate publicity or privacy rights;
• Sell counterfeit goods;
• Upload content you are not authorized to use;
• Misrepresent ownership of content;
• Facilitate unlawful activity; or
• Violate the policies of a connected platform.

PodConverge may remove or restrict access to content or functionality when reasonably necessary to address suspected infringement, illegal activity, security concerns, platform requirements, or violations of these Terms.

17. Publishing Products

PodConverge may assist in preparing, generating, organizing, synchronizing, or publishing product information.

You are responsible for reviewing information associated with products you publish, including as applicable:

• Product titles;
• Descriptions;
• Images;
• Mockups;
• Variants;
• Prices;
• Production information;
• Shipping settings;
• Production-partner information;
• Categories;
• Tags; and
• Other listing information.

You remain the merchant or seller responsible for products offered through your connected stores.

PodConverge does not become the marketplace seller merely because you use PodConverge to create or publish a product.

18. Orders and Fulfillment

PodConverge may help receive, organize, transmit, display, or coordinate orders and fulfillment information.

You remain responsible for your customers and your obligations as a merchant or marketplace seller.

Independent production, fulfillment, shipping, marketplace, and carrier services remain responsible for their respective services subject to their own terms.

You are responsible for reviewing product, variant, fulfillment, and provider selections before confirming an action where confirmation is provided.

19. Pricing, Subscriptions, Credits, and Payments

Certain PodConverge functionality may be offered through:

• Free plans;
• Paid subscriptions;
• Usage-based pricing;
• Credits or tokens;
• Transaction-related charges; or
• Other pricing structures disclosed to you.

Current pricing and included functionality may be displayed on PodConverge's website or within the application.

You agree to pay charges you authorize.

Applicable taxes may be added where required.

Third-party marketplace fees, production costs, fulfillment charges, shipping charges, taxes, and other third-party charges are separate from PodConverge charges unless expressly stated otherwise.

PodConverge subscriptions and fees relate to PodConverge's own software, products, workflows, infrastructure, and services.

20. Cancellation and Account Closure

You may stop using PodConverge at any time.

You may cancel a paid subscription using available account controls or by contacting PodConverge where appropriate.

Unless otherwise required by law or expressly stated:

• Cancellation prevents future subscription renewals;
• Charges already validly incurred are not automatically reversed; and
• Third-party charges remain subject to the applicable provider's policies.

Closing your account may disable integrations and access to stored projects.

Certain information may remain where reasonably necessary for completed transactions, legal requirements, accounting obligations, security, backups, dispute resolution, or platform requirements as described in our Privacy Policy.

21. Acceptable Use

You may not use PodConverge to:

• Violate applicable law;
• Commit or facilitate fraud;
• Infringe intellectual-property rights;
• Circumvent technical or security controls;
• Circumvent API or authorization restrictions;
• Introduce malicious software;
• Interfere with PodConverge or third-party systems;
• Attempt unauthorized access to information or accounts;
• Collect personal information without appropriate authorization;
• Send unlawful spam or unsolicited communications;
• Misrepresent your identity or affiliation;
• Abuse connected-platform APIs;
• Manipulate marketplace statistics or engagement;
• Circumvent marketplace checkout systems;
• Facilitate prohibited transactions; or
• Violate connected-platform rules through PodConverge.

We may restrict functionality where reasonably necessary to protect users, third-party platforms, providers, or PodConverge.

22. Service Availability and Third-Party Dependencies

PodConverge works to provide reliable services but cannot guarantee uninterrupted or error-free operation.

Services may occasionally be unavailable because of:

• Maintenance;
• Software updates;
• Security work;
• Infrastructure failures;
• Third-party outages;
• API limitations;
• Marketplace changes;
• Provider disruptions;
• Internet connectivity; or
• Events beyond our reasonable control.

Third-party integration functionality may change if a third party changes its APIs, policies, permissions, technical requirements, or access.

23. Beta and Developing Features

Certain functionality may be described as beta, preview, experimental, early access, or under development.

Such functionality may:

• Change;
• Contain defects;
• Be incomplete;
• Have limited availability; or
• Be discontinued.

Unless required by applicable law, beta or preview functionality is provided without a commitment that it will become generally available.

24. PodConverge Intellectual Property

Except for User Content and third-party materials, PodConverge and its licensors retain rights in PodConverge's:

• Software;
• Interfaces;
• Workflows;
• Design systems;
• Branding;
• Documentation;
• Technology; and
• Other proprietary materials.

These Terms grant you a limited, non-exclusive, non-transferable right to use PodConverge for authorized purposes while your account remains in good standing.

You may not copy, sell, sublicense, reproduce, distribute, reverse engineer, or commercially exploit PodConverge proprietary software or technology except where permitted by applicable law or authorized by PodConverge.

25. Privacy

Your use of PodConverge is subject to the PodConverge Privacy Policy.

The Privacy Policy explains how PodConverge handles information associated with:

• PodConverge accounts;
• Connected platforms;
• Orders;
• Fulfillment;
• Creative features;
• AI-assisted features;
• Technical and usage information; and
• Other PodConverge services.

Information obtained from connected platforms may also be subject to additional restrictions imposed by those platforms.

26. Security

PodConverge maintains reasonable administrative, organizational, and technical measures designed to protect information processed through the service.

You are responsible for:

• Protecting your PodConverge credentials;
• Protecting credentials for connected platforms;
• Maintaining appropriate user permissions;
• Protecting exported information;
• Maintaining appropriate security for systems you operate; and
• Promptly reporting suspected unauthorized access.

No internet-connected system can guarantee absolute security.

27. Suspension and Termination

PodConverge may restrict, suspend, or terminate access to functionality when reasonably necessary because of:

• A material violation of these Terms;
• Fraud or suspected unlawful activity;
• A security risk;
• Intellectual-property concerns;
• Failure to pay applicable charges;
• Abuse of a third-party platform;
• A connected platform requirement;
• Suspension or termination of necessary API access;
• Conduct that threatens PodConverge or others; or
• A legal or regulatory requirement.

Where reasonably appropriate, PodConverge may provide notice or an opportunity to correct an issue.

Serious security, fraud, legal, platform-integrity, or compliance concerns may require immediate action.

If a third-party platform terminates PodConverge's API access, PodConverge may immediately disable the corresponding integration.

28. Discontinuation of Integrations

PodConverge may discontinue a third-party integration where continued operation is no longer technically supported, legally permitted, reasonably available, or compliant with the applicable platform's requirements.

Where the applicable platform requires a particular notice or transition process, PodConverge will follow applicable requirements.

Discontinuing one integration does not necessarily terminate your entire PodConverge account.

29. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PODCONVERGE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

PODCONVERGE DOES NOT WARRANT THAT THE SERVICES WILL ALWAYS BE AVAILABLE, UNINTERRUPTED, ERROR-FREE, COMPLETELY SECURE, OR SUITABLE FOR EVERY BUSINESS PURPOSE.

PODCONVERGE DOES NOT GUARANTEE:

• Approval of any marketplace listing or seller account;
• Continued access to a third-party API;
• Sales, revenue, profit, conversion, ranking, or other business performance;
• Performance of independent suppliers or fulfillment providers;
• Exact production or delivery times;
• Permanent availability of products or variants;
• That AI-assisted outputs will be unique or error-free; or
• That third-party services will remain unchanged.

Some jurisdictions do not permit certain warranty exclusions, so some limitations may not apply to you.

30. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PODCONVERGE AND ITS DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES OR FOR LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITY, GOODWILL, OR DATA ARISING FROM OR RELATING TO PODCONVERGE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PODCONVERGE'S TOTAL LIABILITY ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID TO PODCONVERGE FOR THE SERVICES GIVING RISE TO THE CLAIM DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

These limitations do not apply where liability cannot legally be limited or excluded.

31. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless PodConverge and its directors, officers, employees, affiliates, and contractors from third-party claims, damages, liabilities, costs, and reasonable legal expenses arising from:

• Your User Content;
• Products you create or sell;
• Your violation of these Terms;
• Your violation of applicable law;
• Your infringement of third-party rights;
• Your misuse of personal information;
• Your violation of a connected platform's rules; or
• Your unauthorized use of a third-party service.

This provision does not require you to indemnify PodConverge for liability caused solely by PodConverge where such liability cannot legally be shifted to you.

32. Changes to These Terms

We may update these Terms to reflect changes to:

• PodConverge;
• Our services;
• Third-party integrations;
• Pricing;
• Security requirements;
• Applicable law; or
• Platform requirements.

Where required by law or reasonably appropriate for material changes, we will provide notice.

The “Last Updated” date indicates the most recent revision.

33. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-law principles, except where mandatory law requires otherwise.

Subject to mandatory rights under applicable law, disputes relating to these Terms or PodConverge will be brought before courts of competent jurisdiction in Ontario, Canada.

This provision does not modify any separate agreement you have with Etsy, Shopify, TikTok Shop, WooCommerce, or another third-party platform.

34. General Terms

If a provision of these Terms is held invalid or unenforceable, the remaining provisions remain effective to the maximum extent permitted by law.

PodConverge's failure to enforce a provision does not waive our right to enforce it later.

You may not assign your rights or obligations under these Terms without PodConverge's written consent except where applicable law provides otherwise.

PodConverge may assign these Terms in connection with a merger, acquisition, financing, corporate reorganization, or sale of relevant assets, subject to applicable law.

These Terms, together with the Privacy Policy and any additional terms expressly applicable to a PodConverge service, constitute the agreement between you and PodConverge regarding your use of PodConverge.

Third-party platform terms remain separate agreements between you and the applicable third party.
